Beginning with the Sabine decision in 2016, a number of bankruptcy courts throughout the country have issued opinions in E&P bankruptcies addressing whether property dedication provisions in midstream contracts create real property covenants that cannot be rejected under Section 365 of the Bankruptcy Code. The consequences that flow from such decisions are important not just in the context of the various producer bankruptcies but also, going forward, as producers and midstream companies consider how to structure future midstream contracts in light of these decisions. Join us for a discussion of the status of the current case law as well as ways that future contracts may be structured to provide greater certainty for all parties involved.
